Terms of Service – FileFi

1. Definitions

• Service – the FileFi software platform and related services
• User / you – any individual or business using the Service
• Account – a registered user account for accessing the Service
• Subscription – a paid recurring plan for the Service

2. The Service

FileFi provides secure file storage, sharing, and management services for businesses and teams. The Service enables users to upload, store, organise, and securely share files with team members and external recipients through authenticated access or shareable links with tracking and access controls.

We may update, change, or discontinue features at any time without liability.

3. Eligibility

To use the Service, you must:

• Be at least 18 years old
• Be authorised to bind a business (if registering on behalf of one)

By registering, you confirm you meet these requirements.

4. Accounts

You are responsible for:

• Keeping your account credentials secure
• All activity that occurs under your account

We may suspend or terminate accounts that breach these Terms.

5. Free Trials (if applicable)

• Free trials last 14 days
• One trial per business or legal entity
• Abuse of trials may result in suspension or termination

6. Subscriptions & Billing

• Subscriptions are billed monthly or annually in advance
• Prices are in GBP and may include VAT where applicable
• Subscriptions renew automatically unless cancelled

No refunds are provided for partial periods or unused features, except where required by law.

7. Payments

Payments are processed via Stripe.

You must provide a valid payment method.

Failed payments may result in suspended access.

8. Cancellation

You may cancel your subscription at any time via your profile billing page.

You will retain access until the end of the current billing period.

No further charges will be made after cancellation.

9. Acceptable Use

You agree not to:

• Use the Service unlawfully
• Submit false, misleading, or harmful content
• Abuse automation or system limits
• Attempt to bypass security or access controls
• Interfere with platform performance
• Create multiple trial accounts

We may suspend or terminate access for violations.

10. Third-Party Services

The Service may integrate with third-party platforms (e.g. payment providers).

We are not responsible for third-party services, content, availability, or terms.

Your use of third-party services is governed by their own terms.

11. Intellectual Property

All intellectual property in the Service, including software, branding, and content, is owned by Happy Lemon Labs Ltd or its licensors.

You are granted a limited, non-exclusive, non-transferable licence to use the Service during your subscription.

12. User Content & Data

You retain ownership of content you submit.

You grant us a limited licence to process your data solely to operate and improve the Service.

We perform routine backups but do not guarantee prevention of data loss.

You are responsible for maintaining your own backups where required.

13. Disclaimer of Warranties

The Service is provided “as is” and “as available”.

We make no warranties, express or implied, including fitness for a particular purpose or uninterrupted availability.

14. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for indirect, incidental, or consequential losses
• Our total liability is limited to the amount you paid us in the 12 months preceding the claim

Nothing in these Terms limits liability that cannot be excluded by law.

15. Indemnification

You agree to indemnify and hold us harmless from claims, losses, or damages arising from:

• Your use of the Service
• Breach of these Terms
• Violation of third-party rights
• Misuse of the platform

16. Termination

We may suspend or terminate your access immediately if you breach these Terms.

Upon termination:

• Your right to use the Service ends
• Outstanding fees remain payable

17. Electronic Communications

You consent to receive communications electronically, including notices, agreements, and updates.

Electronic communications satisfy any legal requirement for written notice.

18. Changes to These Terms

We may update these Terms from time to time.

Changes take effect when posted.

Continued use of the Service constitutes acceptance of the updated Terms.

These Terms are governed by the laws of England and Wales.
